Bronze Statue’s contract sample in the big project’s
Purchase Agreement

The Buyer:
The Seller:
This contract is made by and between the Seller and the Buyer; whereby the Buyer agrees to buy and the Seller agrees to sell the under-mentioned goods subject to the terms and conditions as stipulated hereinafter:

Then we’ll send all bills of lading, invoice and packing list to you by fax or e-mail. If you check no problem, please send the rest of the payment to us. Then we’ll send all the original bills to you.
The Seller must offer three or four workers to the Buyer’s place to install the project and finish the project as the Buyer’s order. All the expenditures of the workers will be on the Buyer’s account. All the expenditures of the workers including: the cost of the visas, the two ways tickets, the cost of the food and stay in Baku. All the instruments and the material must be offered by the Seller and send the Buyer’s place with product.
When the product is finished the Buyer pays additional 50 % the rest 20% the Buyer will pay after the sculpture is installed in Azerbaijan.
If Seller cannot deliver the product on time, the Seller must notice the Buyer to explain and supply the prove. If Seller delays delivery between 5 and 15 days, the Seller must pay 15% of total amount as breach penalties and deduct from the payment. If Seller delays delivery for more than 15 days, the Buyer has the rights to terminate contract and claim.

Due to the flexibility of ocean freight, the Seller shall inform the Buyer of the cost and time of the shipping when all products finished and shipping is arranged.
II. Quality of bronze statue:
The sculpture must made of bronze, covered with gold leaf.
Seller must produce the goods according to drawing and the model strictly. And the seller must take photos when the product is in the production process till the product is loaded. And the buyer can give any advice according to the photos which unsatisfied to make the seller make better to catch the requirement of the buyer.

If Seller do not use raw material, finished product, accessories and packing to the contract, Seller must reproduction and cannot delay delivery. Buyer has the rights to terminate the contract and claim.
III. Inspection：
Buyer has the right to inspect raw material, finished product, accessories and packing during production, package and shipping.

In case there’s any change to be made of the sculpture, the Buyer shall come to the Seller’s company to inspect the commodity when it’s finished. Shipping can be arranged only when the Buyer accepts the Seller’s work and the two parties reach an agreement on it.
IV. Force Majeure:
The Seller shall not be responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above within fourteen days thereafter. The Seller shall send the Buyer their acceptance certificate of the accident by mail. Under such circumstances, the Seller, however, is still under the obligation to take all necessary measures to hasten the delivery of the Bronze Statue Marble Statue Marble Fountain Stone Sphere Fountain.
V. Arbitration
All disputes in connection with the execution of this Agreement shall be settled friendly through negotiation. If no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade. The Arbitration Commission shall be final and binding upon both parties. And the arbitration fee shall be borne by the losing party.
